Compliance with the Law
Grupo Macedo, in conducting its business, complies with applicable laws, respects free competition and the environment, repudiates any discriminatory and prejudiced practices, the exploitation of child labor, slave or degrading work, and corruption in all its forms, including in its relationships with suppliers and partners.
Respect for People
Grupo Macedo values diversity, courtesy, impartiality, and respect for people in its work environment and repudiates acts of discrimination, harassment, and retaliation.
Respect and order must prevail in the work environment to prevent acts of moral, economic, and sexual harassment, or situations that involve pressure, intimidation, or threats in relationships between employees, interns, suppliers, and/or service providers, regardless of their hierarchical level. Just as we respect our external clients, we demand the same conduct from everyone in the internal client versus internal supplier relationship.
Intellectual Property
Grupo Macedo respects and complies with Intellectual Property laws, repudiating any form of violation of industrial property, copyright, trade secrets, and/or the improper acquisition of confidential information about products and services. Employees, interns, suppliers, or service providers of Grupo Macedo are not allowed to disclose or encourage third parties to disclose or use any confidential information of Grupo Macedo or third parties. This confidential information includes, but is not limited to, technical developments, confidential information from documents received from clients, business strategies, business plans, corporate structures, cost data, and pricing information.
The Intellectual Property of projects and plans developed by Grupo Macedo belongs to the company, except where otherwise specified in specific contracts. Grupo Macedo fulfills its contracted obligations and provides services for which it is duly qualified and capable, delivering what it commits to with dedication and quality.
Confidentiality
The use of information classified as confidential must be exclusively for professional purposes, and it is prohibited to use it for personal benefit or for third parties for purposes other than those for which the information was disclosed/received.
All employees, interns, suppliers, and service providers with access to confidential information must sign a Confidentiality Agreement to preserve the strategic information of Grupo Macedo and/or its clients and to guarantee the absolute secrecy of the information obtained and generated in the performance of their activities.
The confidentiality of information is required of all of us at Grupo Macedo during and after the term of the contract establishing the relationship with Grupo Macedo.
Conflict of Interest
In a corporate environment, it is inevitable that some conflicts of various orders may arise.
Regarding External Conflict of Interest, prioritizing an ethical and transparent relationship with our clients, once a potential conflict of interest is identified, the clients must be immediately informed. If the conflict is confirmed, we decline the proposal, expressing our thanks and explaining the reason.
Anti-Bribery Practices
Gifts and giveaways received with a value exceeding half the current minimum wage must be immediately reported to the manager so that they can be raffled among the company's employees or returned to the sender if they are of significant value. If a gift is raffled or returned, a standard thank-you letter should be sent.
It is forbidden to offer or receive any form of bribe or to engage in any act of corruption (active or passive) with the intent of influencing any public official or public entities to obtain or maintain business for Grupo Macedo, for oneself, or for third parties, in accordance with the applicable national and/or international anti-bribery or anti-corruption laws that apply to Apsis and/or its clients.
Social and Environmental Responsibility
Grupo Macedo, in its facilities and internal campaigns, encourages and relies on its employees to preserve the environment and recycle materials. Grupo Macedo also encourages and relies on employee participation in social, environmental, and volunteer practices to promote community development and improve quality of life.
Electronic Information Systems
The use of information classified as confidential must be exclusively for professional purposes, and it is prohibited to use it for personal benefit or for third parties for purposes other than those for which the information was disclosed/received. The confidentiality of information is required of all of us at Grupo Macedo during and after the term of the contract establishing the relationship with Grupo Macedo.
Use of Network, Internet, and Email
The use of the network to store personal files is prohibited.
The exchange of messages via email and internet access for personal matters is permitted, provided they do not violate internal rules and procedures and do not impair professional performance. Harassment and disturbance of other users, whether through language used, frequency, or size of messages, are prohibited.
Material of a pornographic or racist nature may not be exposed, stored on the network, distributed, edited, or recorded through the use of network computing resources.
Attempts to gain unauthorized access and any attempts to interfere with the services of any other user, server, or network are not permitted. Users are not authorized to change any configuration set by Grupo Macedo or disable security mechanisms.
We provide all users with licensed software and prohibit any use of "pirated" software. All access to the internet and the Apsis network is subject to monitoring without prior authorization from users.
Grupo Macedo may, at its discretion, generate reports of websites accessed by users and, if necessary, print the reports without this action constituting a breach of confidentiality.
Responsibility
Grupo Macedo employees are equally responsible for ensuring that all guidelines and rules established in this Code are understood and put into practice.
Ethics Committee
This Code of Conduct is not exhaustive and addresses matters of extreme importance to us.
Thus, decisions regarding its application, violation, and revision of its terms will be the responsibility of the Ethics Committee. The Committee is formed by the Presidency of Grupo Macedo as well as a representative from the following areas: Legal, Human Resources, and Resource Management. To ensure impartiality, all representatives are appointed by the Advisory Board.
The Ethics Committee is responsible for evaluating issues related to the Code impartially, investigating solutions for occurrences brought to it, and responding to complaints when identities are revealed. The members ensure compliance with the principles applied.
Violations and Penalties
Non-compliance with this Code will result in penalties according to the severity of the violation, which may include a warning, suspension, or contract termination.
